Supervisory Board missions

As its name suggests, the Supervisory Board ensures that the Foundation is properly managed and supervised by the Executive Board. Under Institut Curie's bylaws, the Supervisory Board has the following responsibilities:

  • It decides on the Foundation's program of action;
  • It adopts the annual report presented to it by the Executive Board on the moral and financial situation of the Foundation and of each entity, as well as the annual report on investments;
  • On the recommendation of the Executive Board, it approves the budget and any amendments thereto, as well as personnel forecasts in accordance with the procedures laid down in the bylaws;
  • It receives, discusses and approves the financial statements for the year ended, as presented by the Executive Board with supporting documentation;
  • On the recommendation of the Executive Board, it adopts the bylaws;
  • It accepts donations and bequests and votes annually on the allocation of the proceeds. It may choose to allocate a portion to a reserve fund for future actions;
  • Apart from day-to-day management, it authorizes the agreements referred to in the bylaws, the acquisition of shareholdings and the creation of any legal structure, the acquisition and sale of movable and immovable property, contracts, leases and rental agreements, the granting of mortgages and loans, as well as any sureties or guarantees given in the name of the foundation;
  • It appoints the statutory auditor chosen from the list mentioned in article L. 822-1 of the French Commercial Code;
  • It is kept informed by the Executive Board of any draft agreement committing the foundation, and deliberates on agreements falling within the scope of Article L. 612-5 of the French Commercial Code; in such cases, it makes its decision without the interested party being present.

The Supervisory Board

The Supervisory Board, chaired by Daniel Thierry, comprises 18 members divided into 4 colleges:

  • Prof. Didier Samuel, representing the French National Institute for Health and Medical Research (Inserm)
  • Henri-Michel Comet, representing the French Ministry of the Interior
  • Dominique Joseph, representing the French Economic, Social and Environmental Council (CESE)
  • Prof. Norbert Ifrah, representing the French National Cancer Institute (INCa)
  • Yvan de Launoit, representative of the French National Center for Scientific Research (CNRS)

The duties of Supervisory Board member are performed free of charge.

The Supervisory Board is assisted by three ad hoc committees

The Audit and Finance Committee

This committee is responsible for assisting the Supervisory Board in its decision-making in the following areas: monitoring financial strategy; accounts and financial information; annual budget and budget monitoring; investment projects; internal control and risk prevention.

The 5-member Supervisory Board is chaired by Frédéric Donnedieu de Vabres.

The Compensation Committee

This committee is responsible for advising and making recommendations to the Supervisory Board on: the compensation of Executive Board members; the compensation and granting of exceptional bonuses for the positions of directors and those defined by its operating charter; the compensation and profit-sharing policy for Institut Curie staff; the compensation policy for members of the Scientific Advisory Board; the policy for reimbursing expenses.

The 5-member Scientific Advisory Board is chaired by Geneviève Berger.

Ethics Committee

The Ethics Committee is responsible for defining and maintaining the ethical values of Institut Curie. It reports to the Supervisory Board on all its work. Its work is backed up by the Ethics Commission for the Medical Care of Patients and Relatives, the Ethics Committee on Animal Experimentation (CEEA) and the Institutional Ethics Commission.

Composed of 9 members, it is chaired by Marc Joliot.
